By accessing or using the Orion AI platform ("Platform") at www.orionai360.com, you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Platform. These Terms apply to all users including businesses, their staff, and administrators. If you are using the Platform on behalf of a business or organisation, you represent that you have authority to bind that organisation to these Terms.
Orion AI provides an artificial intelligence business assistant platform that includes AI-powered voice call handling, automatic appointment booking, camera monitoring, business analytics, report generation and customer communication services. The Platform is designed for use by businesses in the health and hospitality industries. We reserve the right to modify, suspend or discontinue any feature of the Platform at any time with reasonable notice to users.
To use the Platform, you must register for an account and complete the onboarding process. You agree to provide accurate, current and complete information during registration and to update your information to keep it accurate. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately at security@orionai360.com if you suspect any unauthorised access to your account. You may not share your account credentials with any third party or allow others to access the Platform through your account.
Access to the Platform requires a paid subscription after the 14-day free trial period. Subscription fees are billed monthly or annually as selected at signup. All fees are non-refundable except as required by applicable law or as stated in our refund policy. We reserve the right to change subscription pricing with 30 days notice. Failure to pay subscription fees may result in suspension or termination of your account. For businesses in Ghana and Africa, payments are processed via Paystack in Ghanaian Cedis or other supported currencies. For international businesses, payments are processed via Stripe in USD.
We offer a 14-day free trial for new accounts. No credit card is required to start the free trial. At the end of the trial period, your account will be downgraded to a limited free tier unless you subscribe to a paid plan. We reserve the right to modify or discontinue the free trial offering at any time.
You agree to use the Platform only for lawful business purposes and in accordance with these Terms. You may not use the Platform to make or facilitate illegal calls or communications, impersonate other businesses or individuals, collect customer data without proper disclosure and consent, transmit spam, malware or harmful content, attempt to gain unauthorised access to the Platform or other users' data, use the Platform in any way that could damage, disable or impair it, or violate any applicable laws or regulations. We reserve the right to suspend or terminate accounts that violate these acceptable use policies without notice.
When using Orion's AI voice agent, you are responsible for ensuring your customers are aware they may be speaking with an AI assistant. You must configure Orion with accurate information about your business. You are responsible for all representations made by your Orion AI assistant to your customers. We are not liable for incorrect information provided to your Orion assistant or for calls handled based on inaccurate business configuration. You must not configure Orion to make false or misleading statements, to engage in deceptive practices, or to violate any telecommunications laws in your jurisdiction.
If you use Orion's camera monitoring feature, you are solely responsible for ensuring your use complies with all applicable privacy laws and regulations in your jurisdiction. This includes obtaining any required consents, displaying required notices, and complying with local surveillance and data protection laws. We provide the technical capability; compliance with local laws is entirely your responsibility.
You retain full ownership of all business data, customer data and content you provide to the Platform. You grant Orion AI a limited licence to process this data solely for the purpose of providing the services described in these Terms. We do not claim ownership of your data. We do not use your business data or customer interaction data to train general AI models. Upon termination of your account, your data will be deleted within 30 days as described in our Privacy Policy.
The Orion AI platform, including its software, design, algorithms, branding and content, is owned by Orion AI Ltd and is protected by copyright, trademark and other intellectual property laws. You may not copy, modify, distribute, sell or lease any part of the Platform without our written permission. The Orion name, logo and all related marks are trademarks of Orion AI Ltd.
We aim to provide 99.9% platform uptime. Scheduled maintenance will be announced in advance where possible. We are not liable for service interruptions caused by third-party providers, internet outages, force majeure events or circumstances beyond our reasonable control. Enterprise plan customers are entitled to service level agreements as specified in their enterprise contract.
To the maximum extent permitted by applicable law, Orion AI Ltd shall not be liable for any indirect, incidental, special, consequential or punitive damages, including but not limited to loss of profits, loss of data, loss of customers or business interruption, arising from your use of or inability to use the Platform. Our total liability to you for any claim arising from these Terms or your use of the Platform shall not exceed the amount you paid to us in the 12 months preceding the claim.
You agree to indemnify, defend and hold harmless Orion AI Ltd, its directors, employees and agents from any claims, damages, losses, costs and expenses (including legal fees) arising from your use of the Platform, your violation of these Terms, your violation of any third-party rights, or any content or information you provide to the Platform.
You may cancel your account at any time through your dashboard settings. We may suspend or terminate your account immediately if you violate these Terms, fail to pay subscription fees, engage in fraudulent activity, or if required by law. Upon termination, your access to the Platform will cease and your data will be deleted within 30 days as per our data retention policy.
These Terms are governed by and construed in accordance with the laws of the Republic of Ghana. Any disputes arising from these Terms or your use of the Platform shall be subject to the exclusive jurisdiction of the courts of Ghana. If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
We reserve the right to modify these Terms at any time. We will notify you of material changes by email and by displaying a notice on the Platform at least 14 days before changes take effect. Continued use of the Platform after changes take effect constitutes acceptance of the updated Terms.
